Creating a Tax-Exempt Entity

At Cooper Law LLC, we would assist a client in forming a nonprofit company and securing a determination from the IRS that it qualifies as a 501(c)(3) tax-exempt entity.

This would involve advising the client on how to structure the company operations to comply with the requirements to gain such determination, including reviewing and revising (or drafting) the company’s certificate of incorporation, bylaws and conflict of interest policy.

We would also assist the client in completing and submitting IRS Form 1023 or IRS Form 1024 with their respective attachments and responding to IRS challenges with respect to such submission.
