Resolving Owners’ Controversies

Problem: A business owner is in a controversy with one or more of his co-owners and needs to negotiate and draft a settlement of such controversy.

At Cooper Law LLC, we would help shareholders and other owners negotiate, structure and document settlement agreements of controversies and provide for alternate dispute resolution in mediation or arbitration. If the dispute ended up in mediation or arbitration, we would help the client find and work with appropriate litigation counsel.

We would also help shareholders (and other equity interest holders) structure agreements that provide for the separation of their interests. This might involve the spinning off of a portion of the business to one of the shareholders in a tax-free transaction.
